By accessing or using our website at https://arcetro.in (the "Site") and engaging our services, you ("Client", "you", or "your") agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree with these Terms, please do not use our Site or services. By accessing the Site or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Services

2.1 Service Offerings

Arcetro Digital Agency provides a range of digital marketing and web development services including but not limited to:

  • Website design and development

  • Search engine optimization (SEO)

  • Social media marketing

  • Content creation and marketing

  • Pay-per-click (PPC) advertising

  • Email marketing

  • Graphic design

  • Brand strategy and identity

  • Analytics and reporting

  • E-commerce solutions

  • Mobile application development

  • Digital strategy consulting

2.2 Service Agreement

Upon engagement of our services, a specific Service Agreement or Statement of Work ("SOW") may be provided detailing the scope, deliverables, timeline, and pricing for your project. Such agreements are incorporated into these Terms by reference.

2.3 Service Modifications

  • Arcetro reserves the right to modify, suspend, or discontinue any part of our services with or without notice.

  • Any changes to the agreed scope of work must be documented in writing and may result in adjusted pricing and timelines.

  • Minor revisions are included as specified in your SOW. Major revisions or changes beyond the original scope may incur additional charges.

3. Client Responsibilities

3.1 Cooperation

You agree to:

  • Provide accurate and complete information as required for service delivery

  • Review and provide feedback on deliverables within the timeframe specified in your project timeline

  • Designate a primary point of contact for communication

  • Make timely decisions to maintain project momentum

3.2 Content and Materials

  • You are responsible for providing content (text, images, videos, etc.) as specified in your project scope.

  • Any delays in providing required materials may result in project delays.

  • You warrant that all content provided to us does not infringe upon any third-party rights.

3.3 Approvals

  • You are responsible for reviewing and approving deliverables at each milestone.

  • Failure to provide feedback within 7 business days may be deemed as acceptance of the deliverable.

4. Fees and Payment

4.1 Pricing

  • Service fees are outlined in your specific Service Agreement or proposal.

  • All prices are quoted in [Currency] unless otherwise specified.

  • Prices are valid for 30 days from the date of proposal unless otherwise stated.

4.2 Payment Terms

  • A non-refundable deposit of 50% of the total project fee is required to initiate work unless otherwise specified in your agreement.

  • Remaining payments will be invoiced according to the schedule outlined in your Service Agreement.

  • For ongoing services, payment is due in advance of the service period.

  • Invoices are payable within 14 days of the invoice date.

  • Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law.

4.3 Taxes

All fees are exclusive of applicable taxes. You are responsible for payment of all applicable taxes, levies, or duties imposed by taxing authorities.

5. Intellectual Property Rights

5.1 Client Materials

  • You retain all rights to content, logos, trademarks, and materials you provide to us.

  • You grant Arcetro a limited license to use these materials solely for the purpose of providing the contracted services.

5.2 Arcetro Materials

  • Arcetro retains all rights to our proprietary tools, processes, and methodologies.

  • Upon full payment, you receive a non-exclusive license to use the final deliverables for their intended purpose.

  • Custom code and design elements created specifically for your project become your property upon full payment, except for third-party materials and Arcetro's proprietary tools.

5.3 Portfolio Rights

Unless explicitly stated otherwise in writing, you grant Arcetro the right to:

  • Include your project in our portfolio

  • Use your project for promotional purposes

  • Reference you as a client in marketing materials

5.4 Third-Party Materials

  • For third-party materials (stock photos, fonts, plugins, etc.), you receive a license in accordance with the third-party's terms.

  • Arcetro is not responsible for any changes in third-party licensing terms.

6. Confidentiality

6.1 Client Information

Arcetro agrees to:

  • Keep confidential all non-public information shared by you

  • Use such information solely for providing the contracted services

  • Take reasonable measures to protect your confidential information

6.2 Disclosure Exceptions

Confidentiality obligations do not apply to information that:

  • Is or becomes publicly available through no fault of Arcetro

  • Is independently developed by Arcetro without reference to your confidential information

  • Is required to be disclosed by law or legal process

7. Cancellation and Refund Policy

7.1 Cancellation by Client

  • You may cancel services within 48 hours of order placement, provided work has not commenced, by submitting a written request to support@arcetro.in.

  • Cancellations after work has commenced or after the 48-hour window are subject to the refund terms below.

7.2 Refund Policy

  • No refunds will be issued once work has commenced on any product or service.

  • The initial deposit is non-refundable.

  • Third-party services purchased on your behalf (domains, hosting, plugins, etc.) are non-refundable as these represent actual costs incurred by Arcetro.

7.3 Service Termination

  • For ongoing services, termination requires 30 days' written notice.

  • No refunds will be issued for pre-paid service periods.

  • Arcetro reserves the right to terminate services for non-payment, abuse, or violation of these Terms.

8. Project Timelines and Delivery

8.1 Timelines

  • Project timelines are estimates and may vary based on complexity, client responsiveness, and unforeseen challenges.

  • Arcetro will make reasonable efforts to meet agreed-upon deadlines.

  • Delays caused by client factors (late feedback, content delivery delays, etc.) may result in adjusted timelines.

8.2 Delivery and Acceptance

  • Deliverables will be provided for review and approval at key milestones.

  • You will have 7 business days to request revisions or approve the deliverable.

  • After the revision period, deliverables will be considered accepted if no feedback is provided.

8.3 Project Abandonment

Projects that remain inactive due to client unresponsiveness for more than 30 days may be considered abandoned. No refunds will be issued for abandoned projects.

9. Warranties and Limitations

9.1 Service Warranty

Arcetro warrants that:

  • Services will be performed in a professional and workmanlike manner

  • Deliverables will substantially conform to the specifications in the Service Agreement

9.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED HEREIN, ARCETRO'S SERVICES ARE PROVIDED "AS IS" WITHOUT ANY WARRANTY OF ANY KIND. ARCETRO DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

9.3 Limitation of Liability

  • ARCETRO'S LIABILITY IS LIMITED TO THE AMOUNT PAID FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

  • IN NO EVENT SHALL ARCETRO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

  • ARCETRO IS NOT LIABLE FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE.

10. Indemnification

You agree to indemnify and hold harmless Arcetro, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • Your breach of these Terms

  • Your content

  • Your use of our services

  • Your violation of any third-party right

11. Website Usage

11.1 Website Content

  • The content on our Site is provided for general information only.

  • We reserve the right to modify or remove content at any time.

  • While we strive for accuracy, we make no guarantees regarding the completeness or reliability of our Site content.

11.2 User Account

  • If you create an account on our Site, you are responsible for maintaining the confidentiality of your account credentials.

  • You are responsible for all activities under your account.

  • We reserve the right to terminate accounts at our discretion.

11.3 Prohibited Activities

You agree not to:
